Terms of Service

1. Agreement

These terms govern your use of Certified Payroll Generator (the “Service”), operated by Formify Tools (“we”, “us”). By using the Service, you agree to these terms. If you do not agree, please do not use it.

2. What the Service is

The Service is a browser-based tool that helps you prepare a payroll sheet in the format of Form WH-347, a statement of compliance, and related summaries. A free version is available without an account. An optional paid subscription, “Pro”, adds features such as multiple saved profiles, a Start Next Week shortcut, payroll history, backup and restore, and PDFs without the “Created with” footer. Features may change over time.

3. Not legal, tax, or compliance advice

The Service is an independent tool. It is not affiliated with or endorsed by the U.S. Department of Labor or any government agency. We are not a law firm, accountant, or payroll provider, and nothing in the Service is legal, tax, or accounting advice.

Always confirm with your contracting officer, prime contractor, or agency that the format is accepted, which version of any form is required, and whether you must use a specific portal. See our Disclaimer.

4. Your responsibilities

• You are responsible for the accuracy and completeness of everything you enter and everything you submit, including wage rates, classifications, fringe benefits, overtime, and deductions.
• You must review every figure and the statement of compliance before signing or submitting anything. You are responsible for the certifications you make.
• You are responsible for keeping your own payroll records for as long as your contract and the law require.
• Your entries are stored in your browser and can be lost if you clear browser data or change devices. You are responsible for exporting backups.

5. Pro subscription and billing

• Pro costs $29 per month, billed through our payment provider, Lemon Squeezy, which acts as the merchant of record. Prices shown at checkout apply, and applicable taxes may be added.
• Pro renews each month until you cancel. You can cancel at any time using the link in your Lemon Squeezy receipt email or your Lemon Squeezy customer portal. Unless the checkout page says otherwise, you keep Pro until the end of the period you have paid for.
• If we change the price, we will give notice before it applies to your next renewal.
• If you have a billing problem or want to request a refund, email us. We review requests case by case.

6. License keys

After you subscribe, you receive a license key. It is for use by you and your business. Do not share, resell, or publish it. A key may be limited to a small number of devices or browsers, and you can deactivate a device from within the app. We may deactivate keys that are shared, abused, or no longer valid because a subscription has ended.

7. Acceptable use

You agree not to use the Service to create false or misleading payroll records, to break the law, to interfere with or attempt to bypass how the Service works, or to copy, resell, or reverse engineer it except as the law allows.

8. Your data

Your payroll entries stay in your browser and are not sent to us. See our Privacy Policy. We have no access to your data and are not responsible for losing it.

9. Intellectual property

The Service, including its design and code, belongs to us or our licensors. We give you a limited, non-exclusive, non-transferable right to use it for your own business purposes. The payroll records and documents you create are yours.

10. Disclaimer of warranties

The Service is provided “as is” and “as available”, without warranties of any kind, express or implied. We do not guarantee that it is error-free, uninterrupted, or suitable for your contract, or that any agency, prime contractor, or portal will accept the documents it produces.

11. Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, penalties, fines, rejected submissions, or lost data, arising from your use of the Service. Our total liability for any claim is limited to the amount you paid us for Pro in the three months before the claim, or US$100 if you have not paid anything.

12. Changes to the Service or these terms

We may change or discontinue features and may update these terms. The “Last updated” date shows the latest version. Continuing to use the Service after a change means you accept it.

13. Termination

You can stop using the Service at any time. We may suspend or end access for violations of these terms. Cancelling Pro does not delete data stored in your browser.

14. Governing law

These terms are governed by the laws of the jurisdiction where Formify Tools operates, without regard to conflict-of-law rules. Where the law of your location gives you rights that cannot be waived, those rights still apply.
